This Agreement is between Spuric Innovation Center ("SPUR") and the individual or business identified during the host application ("Host"). Host warrants that the person executing this agreement has authority to bind the Host.
Host lists GPU machines ("Host Equipment") on the SPUR Compute marketplace. SPUR accepts customer bookings against those listings, collects payment, and remits the agreed share to Host. Host is an independent contractor; nothing in this Agreement creates an employment, partnership, agency, or joint venture relationship.
Host badges are public commitments. If Host's underlying certification, registration, or ownership status changes such that the badge is no longer accurate, Host must notify SPUR within 5 business days. SPUR will adjust the badge accordingly. Misrepresentation is grounds for immediate termination.
Host Equipment runs customer workloads inside isolated containers orchestrated by the SPUR Agent. Host has no right to inspect customer container contents. Host may inspect Host Equipment hardware logs, NVIDIA driver logs, network flow records, and system journalctl outputs for operational purposes only. If Host suspects abuse on their Equipment, Host must report to SPUR rather than intervening directly.
Host's listed Equipment is expected to honour the uptime target for its tier. If a Host listing falls below the target for two consecutive months, SPUR may de-list the Equipment and adjust Host's reliability score. Persistent breach is grounds for tier downgrade or termination.
Host is responsible for adequate insurance covering Host Equipment, the facility, and operations. SPUR is not liable for damage to or loss of Host Equipment. Host's liability to SPUR for breach of this Agreement is limited to the payouts received in the 6 months preceding the breach, except in cases of gross negligence, wilful misconduct, or violations of customer data isolation.
This Agreement runs until terminated. Either party may terminate with 30 days notice. SPUR may terminate immediately for breach of Host obligations, fraud, or legal compulsion. On termination, active customer bookings continue until their natural end (Host may not abruptly disconnect active bookings).
Each party will keep the other party's non-public information confidential and use it only to perform under this Agreement. This includes customer identities, pricing strategies, reliability metrics, and roadmap details shared in host channels.
Ontario, Canada. Disputes exclusively in Ontario courts. International hosts agree to submit to Ontario jurisdiction for the purposes of this Agreement.
Host executes this Agreement electronically by checking the consent box during the host application and again at SPUR Agent installation. Tier 3 hosts additionally execute a paper-signed Datacentre Hosting Agreement before listings go live.
